摘 要：2014新《公司法》在资本制度方面进行了重大改革：注册资本实缴登记制改为认缴登记制、放宽注册资本登记条件、简化登记事项和登记文件。这三大修改在带来积极影响的同时，也导致注册资本虚高、大量皮包公司的产生，同时也存在着相关法律制度不完善和信用体系建设缓慢的问题。对于这些新问题，政府应当构建监管新模式，建立健全信用约束机制，同时建立相关量化标准审查股东承担责任的能力，以此来促使交易者承担资本充实责任。另外，应当对抽逃出资罪、虚假出资罪、虚报注册资本罪方面进行修改，同时注重同《证券法》进行联动修改。63256

引言

近年来，市场经济得到了高速发展，同时伴随着的是越来越激烈的竞争，过去旧《公司法》的弊端变得更加突出，严重影响了当前全球化背景下中国市场经济的进一步发展。因此，对新<公司法>进行修改成为了迫在眉睫之事。在千呼万唤之下，2013年全国人大常委会通过了新《公司法》修正案，对我国的资本制度进行了大刀阔斧的改革。
