摘要随着全球性并购浪潮的推动,现代财务会计理论与方法已经不适用于企业并 购。基于国际化视野下的竞争和发展需要,我国企业集团只有从战略高度,以并 购财务战略的眼光来规划、指导并购财务管理工作,才能提高并购重组成功的能 力。本文从财务战略的基本理论着手,分析了企业并购过程中的内外部环境,并 提出企业并购财务战略规划。以大连万达收购 AMC 为例,对企业并购的财务战略 规划的实证分析。根据并购财务战略的规划,本文提出了对企业并购目标公司 AMC 的价值评估,确定被并购方的并购价值是并购前的重要准备。同时,在实现 企业并购后有必要进行一系列的并购整合,通过财务整合等使双方的战略目标协 同一致,为并购后达成双方共赢的局面奠定基础。79375

Research on financial strategy in mergers and acquisitions
Abstract Along with the global wave of mergers and acquisitions,the modern financial accounting theory and method has does not apply to mergers and acquisitions。Based on the perspective of internationalization competition and development needs,our country enterprise group,only from a strategic height to M&A financial strategy plan and guide the M&A financial management work,to improve the ability of M&A success。Start from the basic theory of financial strategy,this paper analyzes the internal and external environment,in the process of mergers and acquisitions and mergers and acquisitions financial strategic planning is put forward。Dalian Wanda acquisition of AMC,for example, empirical analysis of the M&A financial strategic planning。According to M&A financial strategy planning,this paper puts forward to evaluate the value of the M&A target AMC,determine the acquisition value of the M&A party's important preparation before the merger。At the same time,the need for a series of merger and acquisition integration after enterprise M&A,through the strategic target of financial integration so that both the concerted,lay a foundation to achieve a win-win situation both sides after the merger。
